PART I โ GENERAL TERMS & DEFINITIONS
1. Introduction
Welcome to 99Broker, a real estate technology platform owned and operated by 99Yard, a Unit of Rudra Group ("99Broker", "99Yard", "Company", "we", "our", or "us").
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "Broker", "Buyer", "Seller", "Owner", "Agent", "Team Member", "Administrator", or "you") and the Company governing your access to and use of the Platform.
By creating an account, verifying your mobile number, clicking "I Agree", accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.
If you do not agree with these Terms, you must immediately discontinue use of the Platform.
2. Purpose of the Platform
99Broker is a Software-as-a-Service (SaaS) Customer Relationship Management (CRM) platform developed exclusively for the real estate industry.
The Platform is designed to assist users in:
- Managing buyers, sellers, landlords, tenants, and property owners.
- Managing residential, commercial, agricultural, industrial, and rental properties.
- Scheduling property inspections and site visits.
- Managing customer relationships.
- Maintaining digital records and documents.
- Recording follow-ups and communication history.
- Managing brokerage operations.
- Generating reports and business analytics.
- Facilitating collaboration among authorized team members.
- Providing AI-assisted productivity features.
The Platform is intended solely as a technology solution and does not replace professional legal, financial, engineering, architectural, valuation, or regulatory advice.
3. Definitions
Unless the context otherwise requires, the following terms shall have the meanings assigned below.
3.1 Platform
"Platform" means the 99Broker website, mobile applications, desktop applications, APIs, dashboards, cloud services, databases, software modules, AI services, integrations, and any related products or services provided by the Company.
3.2 Company
"Company" refers to 99Yard, a Unit of Rudra Group, together with its successors, affiliates, subsidiaries, employees, officers, directors, licensors, contractors, and authorized representatives.
3.3 User
A User means any individual or legal entity accessing or using the Platform. Users may include:
- Brokers
- Real Estate Agents
- Property Consultants
- Builders
- Developers
- Property Managers
- Team Members
- Buyers
- Sellers
- Owners
- Tenants
- Landlords
- Administrators
- Super Administrators
3.4 Broker
A Broker refers to any individual or business using the Platform for brokerage or property management activities, whether or not registered under any local or national regulatory framework.
3.5 Buyer
A Buyer means any person searching for, inspecting, negotiating, leasing, licensing, purchasing, or otherwise acquiring an interest in a property using or through the Platform.
3.6 Seller
A Seller means any person advertising, offering, selling, transferring, leasing, licensing, or otherwise disposing of any property or interest therein.
3.7 Owner
Owner means the lawful owner, co-owner, authorized representative, attorney holder, developer, builder, society, trust, company, or any person legally authorized to deal with a property.
3.8 Property
Property includes but is not limited to: Residential Property, Commercial Property, Industrial Property, Agricultural Land, Plots, Villas, Apartments, Shops, Offices, Hotels, Guest Houses, Warehouses, Factories, Farm Houses, Rental Properties, Leasehold Properties, Freehold Properties, or any other immovable property recognized under applicable law.
3.9 Content
Content includes all information uploaded, created, stored, generated, transmitted, or shared through the Platform including: Text, Images, Videos, Audio, Documents, Floor Plans, Maps, GPS Data, Property Details, Client Information, Notes, Reports, and AI Responses.
3.10 AI Services
AI Services refer to any artificial intelligence, machine learning, large language model, predictive analytics, recommendation engine, automation, summarization, or decision-support functionality provided within the Platform.
3.11 Services
Services mean all products, software, subscriptions, APIs, integrations, support, hosting, communication, automation, AI tools, and business solutions offered through the Platform.
4. Eligibility
To use the Platform, you represent and warrant that:
- You are at least eighteen (18) years of age.
- You possess the legal capacity to enter into binding contracts.
- You are not prohibited by applicable law from using the Platform.
- You shall comply with all applicable laws, rules, and regulations.
- The information provided during registration is accurate, complete, and current.
- You will promptly update any information that becomes inaccurate or outdated.
The Company reserves the right to request identity verification at any time.
5. Account Registration
Access to certain features requires registration. Users may be required to provide: Full Name, Mobile Number, Email Address, Business Name, Company Details, Profile Photograph, Business Address, GST Number (where applicable), Identity Verification Information, and any additional information reasonably required by the Company.
The Company reserves the right to reject, suspend, or terminate any registration without assigning reasons where permitted by law.
6. Account Security
You are solely responsible for maintaining the confidentiality of: Passwords, PINs, OTPs, Authentication Codes, Recovery Credentials, Session Tokens, and Devices used to access the Platform.
You agree to notify the Company immediately upon becoming aware of: Unauthorized access, Account compromise, Device theft, Credential leakage, or Suspicious login activity.
The Company shall not be liable for losses arising from your failure to maintain account security.
7. OTP Authentication
For security purposes, the Platform may use One-Time Password (OTP) verification. By using OTP authentication, you acknowledge and agree that:
- OTP verification constitutes valid electronic authentication.
- Actions performed after successful OTP verification shall be deemed authorized by you unless proven otherwise.
- OTPs are confidential and must not be disclosed to any third party.
8. User Roles
The Platform may assign one or more roles, including: Super Administrator, Administrator, Broker, Team Member, Independent Agent, Buyer, Seller, Owner, Tenant, or Demo User.
Different roles may have different permissions and restrictions. The Company reserves the right to modify role permissions at any time to improve security or functionality.
9. Subscription Plans
The Platform may offer: Free Plans, Trial Plans, Paid Plans, Enterprise Plans, and Custom Business Plans. Subscription features, pricing, storage limits, AI usage limits, and available services may vary depending on the selected plan.
The Company reserves the right to modify subscription plans, features, pricing, or limits upon reasonable notice.
10. Payments
Where applicable: Subscription fees shall be payable in advance unless otherwise agreed. All payments shall be made using approved payment methods. Applicable taxes shall be charged in accordance with Indian law. Failure to pay may result in suspension or termination of Services.
Unless expressly stated otherwise, payments are non-refundable.
11. Artificial Intelligence (AI) Services
The Platform may provide AI-powered features for business assistance. AI-generated outputs may include: Property descriptions, Property summaries, Client summaries, Communication drafts, Follow-up recommendations, Business insights, Search assistance, Data analysis, and Predictive suggestions.
AI responses are generated automatically and may contain inaccuracies, omissions, outdated information, or incorrect assumptions. Users must independently verify all information before relying upon it.
AI Services are provided solely as productivity tools and shall not be construed as legal, financial, tax, engineering, architectural, valuation, investment, or professional advice. The Company shall not be liable for any decision made based on AI-generated content.
12. Privacy
The Company's collection, storage, processing, disclosure, and protection of personal information shall be governed by the Platform's Privacy Policy. By using the Platform, you consent to the collection and processing of information in accordance with the Privacy Policy and applicable data protection laws.
13. Communications
You consent to receive communications from the Company through: SMS, WhatsApp, Email, Telephone Calls, Push Notifications, In-App Notifications, and System Alerts. Such communications may relate to security, service updates, billing, support, regulatory compliance, product announcements, and account administration. Where promotional communications are sent, you may opt out where required by applicable law.
14. Electronic Records and Electronic Consent
You acknowledge and agree that: Electronic records shall have the same legal validity as physical records, subject to applicable law. Electronic acceptance of these Terms constitutes a legally binding agreement. Electronic communications and digital acknowledgements may be used as evidence in legal proceedings where permitted by law.
15. Compliance with Applicable Laws
Users shall comply with all applicable laws, regulations, and governmental requirements, including, where applicable: Indian Contract Act, 1872; Information Technology Act, 2000; Digital Personal Data Protection Act, 2023; Consumer Protection Act, 2019; Real Estate (Regulation and Development) Act, 2016; Transfer of Property Act, 1882; Registration Act, 1908; Indian Stamp Act, 1899 and applicable State stamp laws; Arbitration and Conciliation Act, 1996; or any other applicable Central, State, or local laws.
Nothing in these Terms shall be interpreted as requiring the Company to provide legal compliance services on behalf of Users.
16. Amendment of Terms
The Company reserves the right to amend, modify, or replace these Terms at any time. Material changes will be communicated through the Platform or by other reasonable means. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
17. Entire Agreement
This Part I, together with all subsequent Parts of the Terms & Conditions, the Privacy Policy, and any policies or agreements expressly incorporated by reference, constitutes the complete agreement between the Company and the User regarding access to and use of the Platform.
In the event of any conflict between these Terms and any separate written agreement executed between the Company and a User, the separate written agreement shall prevail to the extent of such conflict.
PART II โ BROKER / USER AGREEMENT
This Part II forms an integral part of the 99Broker Terms & Conditions and governs the rights, obligations, responsibilities, representations, warranties, and liabilities of every Broker or User using the Platform.
By creating an account, accessing, or using the Platform as a Broker or User, you expressly agree to comply with this Agreement.
1. Appointment of the Platform
99Broker is a Software-as-a-Service (SaaS) platform that provides technology tools to assist Brokers in managing their real estate business.
The Company does not appoint the Broker as its employee, franchisee, partner, joint venture partner, representative, legal agent, contractor, or authorized signatory.
Nothing contained in this Agreement shall be construed as creating an employer-employee relationship, agency, partnership, franchise, or fiduciary relationship between the Company and the Broker.
The Broker operates as an independent business entity and remains solely responsible for all professional, commercial, legal, and regulatory obligations arising from their activities.
2. Broker Eligibility
A Broker using the Platform represents and warrants that:
- They possess full legal capacity to enter into binding agreements.
- They are legally permitted to conduct real estate-related activities under applicable laws.
- They possess all licenses, registrations, permissions, or approvals required by law, where applicable.
- They are not prohibited by any court, tribunal, authority, or regulator from carrying on business.
- All information submitted during registration is true, accurate, and complete.
Providing false or misleading information may result in immediate suspension or termination of the account.
3. Independent Business Relationship
The Broker acknowledges that:
- The Company is solely a technology service provider.
- The Platform does not participate in brokerage negotiations.
- The Platform does not determine brokerage commissions.
- The Platform does not guarantee any business opportunities.
- The Platform does not guarantee sales, purchases, rentals, or leases.
- The Platform does not guarantee the authenticity of Buyers, Sellers, or Properties.
All transactions are conducted independently by the Broker.
4. Broker Responsibilities
The Broker shall:
- Conduct business honestly, fairly, and professionally.
- Act in good faith while dealing with Buyers, Sellers, Owners, and Tenants.
- Comply with all applicable laws.
- Maintain accurate business records.
- Protect confidential client information.
- Verify material facts before publishing property information.
- Maintain professional conduct at all times.
The Broker shall exercise reasonable care and skill expected from a professional real estate intermediary.
5. Property Listing Responsibilities
Before listing any property, the Broker represents and warrants that:
- They have obtained authorization from the Owner or an authorized representative.
- They reasonably believe the property information is accurate.
- Property photographs are uploaded with proper permission.
- Property videos are uploaded with proper permission.
- Maps, plans, and documents are lawfully obtained.
- Listing descriptions are truthful and not misleading.
The Broker shall promptly update or remove listings that become inaccurate.
6. Verification Obligations
The Broker acknowledges that 99Broker does not independently verify any property.
Accordingly, the Broker shall make reasonable efforts to verify, where applicable:
- Identity of the Owner.
- Authority to sell or lease.
- Property location.
- Property dimensions.
- Property status.
- Occupancy.
- Encumbrances disclosed by the Owner.
- Government approvals represented by the Owner.
- Availability of the property.
The Broker remains solely responsible for representations made to clients.
7. Client Information
The Broker shall ensure that:
- Client information is collected lawfully.
- Required consent has been obtained.
- Information entered into the Platform is accurate.
- Client privacy is respected.
- Information is used only for legitimate business purposes.
The Broker shall not misuse client information for unlawful marketing, harassment, identity theft, or unauthorized disclosure.
8. Document Management
The Broker shall upload only documents that:
- Are genuine to the best of their knowledge.
- Have been lawfully obtained.
- May legally be shared.
- Do not infringe any intellectual property rights.
- Do not violate any court order or confidentiality obligation.
The Broker shall immediately remove any document discovered to be inaccurate or unauthorized.
9. Prohibited Activities
The Broker shall not:
- Upload fake properties.
- Upload duplicate listings with intent to mislead.
- Fabricate ownership.
- Forge agreements.
- Upload forged title documents.
- Manipulate property photographs.
- Misrepresent property dimensions.
- Conceal known legal disputes affecting a property.
- Conceal known material defects where disclosure is required.
- Mislead Buyers or Sellers.
- Create fake enquiries.
- Artificially inflate demand.
- Publish discriminatory advertisements prohibited by law.
- Engage in spam or abusive communication.
- Circumvent Platform security.
- Reverse engineer the Platform.
- Introduce malicious software.
- Misuse AI-generated content to deceive users.
Violation of this section constitutes a material breach of these Terms.
10. Professional Conduct
The Broker agrees to: Avoid harassment, avoid coercion, avoid unfair trade practices, avoid deceptive advertising, maintain transparent communication, and respond honestly to reasonable client enquiries.
Professional misconduct may result in disciplinary action by the Company.
11. Brokerage Commission
Unless expressly agreed otherwise in writing: Brokerage commission is determined solely between the Broker and the client. The Company does not negotiate brokerage fees, is not responsible for commission disputes, and is not liable for non-payment of brokerage.
The Broker is solely responsible for compliance with applicable tax laws relating to brokerage income.
12. Taxes
The Broker is solely responsible for: Income Tax, GST (where applicable), Professional Tax, TDS obligations, local taxes, and regulatory filings.
The Company shall not be responsible for the Broker's tax compliance.
13. Compliance with Real Estate Laws
The Broker agrees to comply with all applicable laws governing real estate transactions, including: Real Estate (Regulation and Development) Act, 2016 (RERA), Transfer of Property Act, 1882, Registration Act, 1908, Indian Stamp Act, 1899, Consumer Protection Act, 2019, Indian Contract Act, 1872, Digital Personal Data Protection Act, 2023, Information Technology Act, 2000, and other applicable regulations.
14. Intellectual Property
The Broker retains ownership of content uploaded by them. However, the Broker grants the Company a non-exclusive, worldwide, royalty-free licence to host, store, process, display, transmit, back up, and technically reproduce such content solely for the purpose of operating, maintaining, securing, and improving the Platform.
15. Data Ownership
Client relationships belong to the Broker. Subject to applicable law: Client databases remain the Broker's business asset, property records belong to the uploading Broker, and documents remain the property of their respective owners.
The Company acts as a technology service provider and data processor for Platform operations.
16. Audit & Monitoring
For security, fraud prevention, compliance, and dispute resolution, the Company may maintain records of login history, device information, IP addresses, property/client edits, follow-ups, uploads, and administrative actions.
17. Suspension and Termination
The Company may suspend, restrict, or terminate a Broker account, with or without prior notice, if the Broker uploads fraudulent listings, uses forged documents, misuses client information, violates laws, or breaches these Terms.
18. Indemnification
The Broker agrees to defend, indemnify, and hold harmless the Company from any claims, liabilities, losses, damages, or costs arising out of the Broker's breach of these Terms, false listing details, client disputes, or regulatory violations.
19. Limitation of Platform Responsibility
The Broker acknowledges that the Company does not guarantee sales/rentals, verify legal title or government approvals, or guarantee the authenticity of client/property data.
20. Survival
The obligations relating to confidentiality, intellectual property, indemnification, audit records, payment obligations, dispute resolution, limitation of liability, and survival provisions shall continue in force even after termination.
PART III โ BUYER AGREEMENT, DECLARATION & PURCHASE ACKNOWLEDGEMENT

1. Purpose
This Buyer Agreement, Declaration & Purchase Acknowledgement ("Agreement") forms an integral part of the 99Broker Terms & Conditions and constitutes a legally binding agreement between 99Broker ("Company", "Platform", "we", "our", or "us") and every Buyer, Prospective Buyer, Investor, Tenant, or any other person using the Platform to enquire, inspect, purchase, rent, lease, or acquire an interest in any property ("Buyer", "you", or "your").
This Agreement governs property enquiries, declarations, site visits, inspections, due diligence, broker interactions, privacy, consent, and digital logs.
2. Buyer Eligibility
You represent and warrant that you are at least eighteen (18) years of age, possess legal capacity to enter into contracts, and all information provided by you is true, complete, and accurate.
3. Identity Declaration
You declare that your identity, mobile number, email, and submitted KYC documents are genuine and valid, and you are acting either in your personal capacity or with proper authority on behalf of others. Providing false details constitutes a material breach.
4. Purpose of Property Enquiry
You declare that your enquiry is genuine, you intend to inspect or evaluate properties in good faith, and you will not intentionally waste the time or resources of Sellers or Brokers.
5. BUYER TRUTH STATEMENT
You solemnly affirm that every statement, declaration, representation, financial disclosure, and communication made by you is honest and in good faith. You have not misrepresented your identity, capability, or intentions, nor submitted forged documents or fake offers. You accept full responsibility for all information submitted.
6. Due Diligence Acknowledgement
You acknowledge that property transactions involve legal and financial due diligence. You agree to independently verify ownership, titles, encumbrances, litigation, revenue records, approved plans, occupancy/completion certificates, RERA registration, taxes, dues, physical measurements, and possession status. This responsibility rests entirely with you.
7. Property Information Acknowledgement
You understand that property listings, photos, videos, dimensions, pricing, and AI descriptions are supplied by Sellers, Owners, Developers, or Brokers. The Platform does not independently verify every listing.
8. Site Visit Declaration
Where a site visit is arranged, you agree to arrive on time, respect occupant privacy, follow safety rules, avoid causing damage, and not enter restricted areas or record media where prohibited. Site visits are undertaken at your own risk.
9. Communication Standards
You agree to communicate professionally. Harassment, abuse, threats, discrimination, identity theft, spam, private info disclosure, and unauthorized recordings are strictly prohibited.
10. Property Offer Declaration
You declare that any property offer submitted is made in good faith and you intend to proceed if accepted, subject to due diligence. An offer does not by itself create a legally binding contract.
11. Financial Declaration
You declare that voluntarily disclosed financial info is accurate, and any proof of funds, sanction letters, or approvals submitted by you are genuine and lawfully obtained.
12. Brokerage Acknowledgement
You acknowledge that brokerage fees are separately agreed between you and the Broker, are not set by the Platform, and that the Platform is not liable for brokerage disputes.
13. Communication Consent
You authorize the Platform and Brokers to contact you (calls, SMS, WhatsApp, email, push notifications) regarding enquiries, site visits, recommendations, updates, and customer support.
14. Privacy Consent
You acknowledge reading the Privacy Policy and consent to sharing enquiry info with relevant Sellers or Brokers solely to facilitate property transactions.
15. Artificial Intelligence (AI)
You acknowledge that AI-generated investment insights, property comparisons, summaries, or descriptions may contain errors and do not constitute professional advice. Independent judgment is required.
16. Buyer Responsibilities
You agree to conduct independent diligence, verify property details, protect document confidentiality, respect schedules, update your requirements, and act honestly in good faith.
17. Prohibited Activities
You shall not submit fake enquiries/offers, use false identities, upload forged documents, misrepresent financial capacity, harass users, bypass security, or abuse AI content.
18. Compliance with Applicable Laws
You agree to comply with all applicable Indian laws, including the Indian Contract Act, Transfer of Property Act, RERA 2016, Consumer Protection Act, IT Act 2000, and DPDP Act 2023.
19. Platform Disclaimer
The Platform is a technology service only. It does not verify titles, ownerships, mutations, encumbrances, structural safety, or government approvals, and does not act as a contracting party in transactions.
20. Indemnity
You agree to defend and indemnify the Company, its officers, employees, and authorized Brokers from all claims, penalties, losses, and legal costs arising out of false declarations, forged documents, or breaches.
21. Limitation of Liability
The Company is not liable for title/boundary disputes, financing failures, Buyer default, broker fee disputes, registration delays, or investment/commercial losses.
22. Electronic Acceptance & Digital Evidence
You agree that digital acceptance (OTP verification, secure logins, signatures, or checkboxes) is binding. The Platform maintains an Electronic Acceptance Record (document hash, timestamp, session ID, IP address, app version, verification status) for security audit trails.
23. Buyer Confirmation
By clicking "I Agree", verifying via OTP, submitting an enquiry, making an offer, or using services, you confirm you have read, understood, and voluntarily accept all terms of this Agreement. Providing false declarations or forged documents may lead to account suspension, removal of offers, civil damages, or criminal prosecution.
PART IV โ SELLER / OWNER AGREEMENT, DECLARATION & PROPERTY AUTHORIZATION

1. Purpose
This Seller / Owner Agreement, Declaration & Property Authorization ("Agreement") forms an integral part of the 99Broker Terms & Conditions and constitutes a legally binding agreement between 99Broker ("Company", "Platform", "we", "our", or "us") and every Seller, Property Owner, Landlord, Builder, Developer, Attorney Holder, or authorized representative marketing a property ("Seller", "Owner", "you", or "your").
This Agreement governs property listing, marketing authorization, owner declarations, disclosures, document authenticity, buyer protection, and electronic evidence logs.
2. Seller Eligibility
You represent and warrant that you are at least eighteen (18) years of age, possess legal capacity to enter into binding contracts, are competent to deal with the Property, and all supplied details are complete.
3. Identity Declaration
You declare that your identity, mobile number, email, and submitted KYC documents are genuine and current. Providing false identity information constitutes a material breach of this Agreement.
4. Ownership & Authority Declaration
You declare that you are either the Sole Owner, Co-owner, Power of Attorney Holder, Developer, Legal Heir, or legally authorized representative. You possess lawful authority to lease, rent, license, or sell the Property. The Platform may request documentary proof of authority at any time.
5. Property Declaration
You declare that all Property information uploaded (address, plot/flat details, construction status, dimensions, furnishing, possession status, expected timeline, price, deposit, and rent) is accurate, true, and complete.
6. PROPERTY TRUTH STATEMENT
You solemnly affirm that every statement regarding the Property is made in good faith. You have not misrepresented ownership, approvals, dimensions, or pricing, and have not uploaded false photographs or submitted forged documents. You accept full responsibility for all information supplied.
7. Mandatory Property Disclosure
You declare that you have disclosed all material facts (mortgages, boundary disputes, pending litigation, government acquisition, easements, unauthorized construction, tax/utility dues, municipal notices, or environmental/heritage restrictions) likely to affect a Buyer's decision.
8. Property Documents Declaration
You declare that every document uploaded (sale deeds, mutations, revenue records, building plans, occupancy/completion certificates, RERA registrations, tax/utility receipts) is genuine, lawfully obtained, and has not been forged or altered.
9. Authorization to Market Property
You expressly authorize (A) your Appointed Broker to advertise and negotiate within the authority granted, and (B) the 99Broker Platform to display details, photos, videos, maps, pricing, AI descriptions, and promote listings to prospective Buyers.
10. Property Media Consent
You authorize the Platform to use property media (photos, videos, floor plans, drone images) solely for lawful marketing and Platform operations, confirming you own the rights to authorize such use.
11. Buyer Information Sharing Consent
You authorize sharing Property details with prospective Buyers and authorized Brokers. Contact details may remain masked until you choose to disclose them.
12. Privacy Consent
You acknowledge reading the Privacy Policy and consent to processing your personal data for operations, security, fraud prevention, and legal compliance.
13. Artificial Intelligence (AI)
You acknowledge that AI-generated property descriptions, summaries, or content may contain errors and require owner review. You remain responsible for approving all published content.
14. Seller Responsibilities
You agree to maintain accurate listings, respond honestly to enquiries, update sold/rented status, cooperate during verification, act in good faith, and comply with all applicable laws.
PART V โ PROPERTY LISTING RULES & LEGAL COMPLIANCE

1. Scope
This Part governs all property listings on the Platform. Every Broker, Seller, Owner, Developer, or User creating a listing must comply with these rules. Non-compliance constitutes a material breach of these Terms.
2. Listing Authorization
No property may be listed without express authorization from the lawful owner or their authorized representative. By creating a listing, the Broker or User represents that valid authorization exists.
3. Accuracy Obligations
All listing details โ including property type, dimensions, price, location, ownership, legal status, possession date, and amenities โ must be accurate, truthful, and not misleading. Listing descriptions, photographs, and videos must represent the actual property condition and must not be digitally manipulated to misrepresent the property.
4. RERA Compliance
Where applicable under the Real Estate (Regulation and Development) Act, 2016, Developers and Brokers must ensure that projects and properties are registered with the relevant RERA authority before marketing. Users must display valid RERA registration numbers on applicable listings.
5. Prohibited Listings
The following are strictly prohibited on the Platform:
- Duplicate or ghost listings created solely to inflate supply.
- Listings for properties under court-ordered injunctions or attachment orders (unless disclosed).
- Properties with undisclosed known title defects that are material to a Buyer's decision.
- Fake, non-existent, or deliberately misleading listings.
- Listings with discriminatory content prohibited by law.
- Properties listed without owner authorization.
6. Listing Maintenance
Users must promptly update listings when properties are sold, rented, withdrawn, or when any material information changes. Stale or inaccurate listings must be removed immediately upon discovery.
7. Platform Rights
The Company reserves the right to remove, modify, or suspend any listing that violates these rules, applicable laws, or Platform policies โ at its sole discretion and without prior notice.
PART VI โ PAYMENTS, COMMISSION & REFUNDS

1. Subscription Payments
Access to paid features of the Platform requires purchase of an applicable subscription plan. Subscription fees are payable in advance and must be paid using the approved payment methods listed on the Platform. All fees are quoted in Indian Rupees (INR) and are inclusive of applicable taxes, unless stated otherwise.
2. Payment Processing
Payments are processed through third-party payment gateways. The Company is not responsible for delays, failures, or security incidents arising from the payment gateway's operations. Users are advised to retain payment receipts for their records.
3. Brokerage Commission
Brokerage commission is a matter solely between the Broker and their client. The Platform plays no role in setting, collecting, or enforcing brokerage fees. The Company is not liable for commission disputes, non-payment, or recovery actions between Brokers and clients.
4. GST & Taxation
Applicable Goods and Services Tax (GST) shall be charged on subscription fees as required under Indian law. Users are responsible for their own income tax, GST (on brokerage income), TDS, and other applicable tax obligations arising from their business activities conducted through the Platform.
5. Refund Policy
Unless expressly stated in the applicable plan or required by applicable consumer protection law, all subscription payments are non-refundable. In exceptional circumstances, refund requests may be considered at the Company's sole discretion. Detailed terms are available in the separate Refund & Cancellation Policy.
6. Suspension for Non-Payment
Failure to pay subscription fees may result in suspension or restriction of Platform access without prior notice. The Company reserves the right to downgrade, restrict, or terminate accounts for non-payment after a reasonable grace period.
PART VII โ INTELLECTUAL PROPERTY & DATA OWNERSHIP

1. Platform IP
All intellectual property in the Platform โ including software, source code, user interface design, logos, trademarks, trade names, patents, trade secrets, data models, AI algorithms, reports, templates, and documentation โ is owned exclusively by the Company or its licensors. No User acquires any ownership or licence in Platform IP except as expressly granted herein.
2. User Content Ownership
Users retain ownership of content they upload to the Platform, including property details, client data, documents, photographs, and communications. By uploading content, Users grant the Company a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, process, display, transmit, reproduce, and create derivative works of such content solely for the purpose of operating, maintaining, securing, and improving the Platform.
3. Client Data
Client relationships, client databases, and client records belong to the Broker or User who created them, subject to applicable data protection laws. The Company acts as a data processor for such data and processes it solely in accordance with the Platform's Privacy Policy and Data Processing Agreement.
4. AI Output
AI-generated outputs (property descriptions, summaries, recommendations) produced on the Platform using the User's input may be used and shared by the User for their business purposes. The Company retains the right to use aggregated, anonymized AI interaction data to improve and train its models.
5. Prohibited Use of Platform IP
Users must not copy, adapt, reverse engineer, decompile, disassemble, reproduce, republish, distribute, or create derivative works from any Platform IP without prior written consent of the Company. Unauthorized use of Platform IP constitutes a material breach and may result in legal action.
PART VIII โ PRIVACY, SECURITY & DPDP ACT COMPLIANCE

1. Data Collection
The Platform collects personal data necessary to operate and improve its services. This includes registration details, profile data, usage data, communication logs, payment records, device information, and IP addresses. Collection is done with informed consent where required by the Digital Personal Data Protection Act, 2023 (DPDP Act).
2. Purpose Limitation
Personal data is processed only for the purposes for which it was collected or as permitted by applicable law, including: account management, service delivery, security, fraud prevention, legal compliance, and customer support.
3. Data Principal Rights
Under the DPDP Act 2023, Data Principals (Users) have the right to: access personal data held about them; correct inaccurate data; withdraw consent (subject to legal limitations); grievance redressal; and nomination of a representative. Requests may be submitted to admin@rudragrup.com.
4. Data Security
The Company implements reasonable technical and organizational security measures to protect personal data against unauthorized access, disclosure, alteration, and destruction. No security system is infallible. Users must also take responsibility for securing their account credentials.
5. Third-Party Processors
The Platform may engage third-party service providers (cloud hosting, payment processors, analytics, communication services) as data processors. Such processors are bound by confidentiality and data protection obligations consistent with applicable law.
6. Broker Obligations
Brokers who collect client personal data through the Platform are independently responsible for complying with the DPDP Act 2023 and all other applicable privacy laws in respect of their clients. The Company acts as a data processor for such data at the Broker's direction.
7. Data Retention
Personal data is retained for as long as necessary to provide the services, fulfill legal obligations, resolve disputes, and enforce agreements. Upon account closure, data may be retained for statutory periods as required by applicable law.
PART IX โ DISCLAIMERS & LIMITATION OF LIABILITY

1. Technology Service Only
99Broker is a technology platform. The Company does not act as a real estate agent, broker, developer, legal advisor, financial advisor, valuer, or contracting party in any property transaction. All property transactions are conducted independently between Buyers, Sellers, Owners, and Brokers.
2. No Warranty on Listings
The Company does not independently verify property listings, titles, encumbrances, ownerships, dimensions, valuations, legal approvals, RERA registrations, structural conditions, or any other information provided by Sellers, Owners, Developers, or Brokers. The Platform provides listing information on an "as-is" basis.
3. AI Disclaimer
AI-generated outputs are provided for productivity and convenience purposes only. They may contain errors, inaccuracies, or outdated information. No AI-generated content constitutes legal, financial, investment, engineering, architectural, tax, or professional advice. Users must independently verify all AI outputs before relying upon them.
4. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for: (a) any direct, indirect, incidental, consequential, punitive, or special damages; (b) loss of profits, revenue, data, or goodwill; (c) property transaction losses; (d) investment or commercial losses; (e) Broker commission disputes; (f) title or boundary disputes; (g) regulatory penalties incurred by Users; or (h) any loss arising from reliance on AI-generated content.
5. Indemnification
Users agree to defend, indemnify, and hold harmless the Company, its directors, officers, employees, agents, and licensors from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to their use of the Platform, breach of these Terms, or violation of any third-party rights.
6. Service Availability
The Company does not guarantee uninterrupted, error-free, or secure access to the Platform. Scheduled or emergency maintenance, third-party outages, network issues, or force majeure events may cause service interruptions. The Company shall not be liable for losses arising from such interruptions.
PART X โ DISPUTE RESOLUTION, ARBITRATION & GOVERNING LAW

1. Governing Law
These Terms and all disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, including applicable central and state statutes, without regard to conflict of law principles.
2. Dispute Resolution โ Good Faith Negotiation
In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties shall first attempt to resolve the matter through good-faith negotiations. The aggrieved party shall provide written notice of the dispute to the other party, and the parties shall attempt resolution within thirty (30) days of such notice.
3. Arbitration
If the dispute is not resolved through negotiation within the prescribed period, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties or, failing agreement, appointed in accordance with the rules of a recognized arbitral institution in India. The seat and venue of arbitration shall be Gurugram, Haryana, India. The language of arbitration shall be English.
4. Jurisdiction
Subject to the arbitration clause above, the courts of competent jurisdiction at Gurugram, Haryana, India shall have exclusive jurisdiction over any matters arising out of or related to these Terms that are not subject to arbitration, including applications for interim relief.
5. Consumer Disputes
Nothing in this Part shall limit any rights available to Consumers under the Consumer Protection Act, 2019, or any applicable consumer protection regulation, including the right to approach consumer dispute redressal forums.
6. No Class Action
To the maximum extent permitted by applicable law, all disputes must be brought in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative action or proceeding.

In accordance with the Information Technology Act, 2000 and applicable rules, the Company's Grievance Officer may be contacted at: admin@rudragrup.com | +91 78070-95953. Grievances shall be acknowledged within 24 hours and resolved within 30 days wherever possible.

This record constitutes a legally valid electronic record under the Information Technology Act, 2000 and the DPDP Act, 2023.
